Definitions

• "Platform" refers to the SeroCast web-based digital signage management system accessible at serocast.com and any associated subdomains.
• "App" or "Player" refers to the SeroCast Player application installed on signage display devices.
• "Services" refers collectively to the Platform, the App, APIs, and all related services provided by SeroCast.
• "User," "You," or "Your" refers to any individual or entity that accesses or uses the Services.
• "Content" or "User Content" refers to any and all media, data, text, images, videos, audio, web links, graphics, advertisements, or any other material that a User uploads, creates, publishes, transmits, schedules, or displays through the Services.
• "Company," "We," "Our," or "Us" refers to SeroCast and its operators, directors, employees, and agents.
• "Screens" or "Displays" refers to the digital signage hardware devices managed through the Platform.

Acceptance of Terms

By accessing or using the Services, you represent and warrant that you are at least 18 years of age and have the legal authority and capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. Your continued use of the Services constitutes ongoing acceptance of these Terms and any amendments thereto.

Description of Services

SeroCast provides a cloud-based digital signage management platform that enables Users to:

• Upload and manage media content (images, videos, web pages).
• Create, schedule, and manage playlists for signage displays.
• Monitor and control connected signage screens remotely.
• Manage user accounts, roles, and permissions within their organization.

User Content — Full Responsibility & Liability

You acknowledge, agree, and accept that:

1. Sole Responsibility: You are solely and exclusively responsible for all Content that you upload, create, modify, schedule, publish, transmit, display, or otherwise make available through the Services.
2. No Content Review: SeroCast does not review, pre-screen, approve, monitor, moderate, endorse, or verify any User Content before, during, or after it is displayed.
3. Legal Compliance: You are solely responsible for ensuring that all Content complies with all applicable local, national, and international laws, regulations, ordinances, codes, and standards, including but not limited to:
   • Copyright and intellectual property laws.
   • Trademark laws.
   • Advertising and consumer protection regulations.
   • Defamation and libel laws.
   • Privacy and data protection laws.
   • Decency and obscenity laws.
   • Anti-discrimination laws.
   • Industry-specific regulations (healthcare, finance, alcohol, tobacco, etc.).
   • Local signage and display permits and regulations.
   • Any other applicable laws in the jurisdiction(s) where Content is displayed.
4. Intellectual Property Rights: You represent and warrant that you own or have obtained all necessary licenses, rights, consents, permissions, and authorizations to use and display all Content through the Services.
5. Third-Party Content: If you display Content created by third parties, you are solely responsible for obtaining all required permissions, licenses, and authorizations.
6. Public Display: You acknowledge that Content displayed on digital signage screens may be viewed by the general public, including minors. You are solely responsible for ensuring the appropriateness of your Content.

Prohibited Content & Uses

You agree that you shall not use the Services to upload, create, display, or transmit any Content that:

• Infringes upon any copyright, trademark, patent, trade secret, or other proprietary right of any party.
• Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, or otherwise objectionable.
• Promotes hatred, violence, discrimination, or terrorism against any individual or group.
• Contains sexually explicit material displayed in locations accessible to minors.
• Contains malware, viruses, or any harmful code.
• Constitutes unauthorized advertising, spam, or misleading content.
• Violates the privacy rights of any individual.
• Impersonates any person, entity, or falsely states or misrepresents your affiliation.
• Violates any applicable law, regulation, or governmental order.
• Promotes illegal activities or provides instructions for illegal conduct.

Violation of this section may result in immediate account suspension or termination at our sole discretion, without refund and without prior notice.

Indemnification

You agree to indemnify, defend, and hold harmless SeroCast, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, suppliers, and partners from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

1. Any Content you upload, create, schedule, display, transmit, or make available through the Services.
2. Any claim that your Content infringes upon the intellectual property rights, privacy rights, or any other rights of any third party.
3. Any claim arising from the public display of your Content on signage screens.
4. Your violation of any applicable law, regulation, or third-party right.
5. Your breach of any provision of these Terms.
6. Your use or misuse of the Services.
7. Any claim by any third party arising from Content displayed on screens managed through your account.
8. Any regulatory fine, penalty, sanction, or administrative action imposed due to Content displayed through your account.

This indemnification obligation shall survive the termination or expiration of your account and these Terms.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

1. SeroCast shall NOT be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for loss of profits, goodwill, use, data, or business opportunities, arising out of or related to:
   • Any Content uploaded, displayed, or transmitted by Users.
   • Any unauthorized access to or alteration of your Content or data.
   • Service interruptions, downtime, or technical failures.
   • Any conduct or Content of any third party using the Services.
2. Content Liability Exclusion: Under no circumstances shall SeroCast be held liable for any claims, damages, losses, costs, or expenses arising from or related to User Content.
3. Our total aggregate liability shall not exceed the total amount paid by you to SeroCast in the twelve (12) months immediately preceding the event giving rise to the claim.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. SeroCast expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Services will be uninterrupted, timely, secure, or error-free.
• Any warranty regarding the accuracy, reliability, or completeness of any information obtained through the Services.
• Any warranty that defects will be corrected.
• Any warranty regarding the legality, appropriateness, or quality of any User Content.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Use strong, unique passwords and enable two-factor authentication when available.
• Immediately notify us of any unauthorized access or security breach.
• Not share account credentials with unauthorized individuals.
• Accept full responsibility for all activities occurring under your account.

Subscription, Payments & Refunds

• Access to certain features requires a paid subscription plan.
• Subscription fees are billed in accordance with the selected billing cycle.
• All fees are exclusive of applicable taxes, which are your responsibility.
• SeroCast reserves the right to modify pricing with thirty (30) days' prior written notice.
• Failure to pay may result in service suspension or account termination.
• Refund requests are subject to our refund policy at the time of the request.

Intellectual Property of SeroCast

The Platform, App, and all associated software, design, logos, trademarks, documentation, and content created by SeroCast are the exclusive property of SeroCast. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for their intended purpose. This license does not grant you any right to:

• Copy, modify, distribute, sell, or sublicense any part of the Services.
• Reverse-engineer, decompile, or disassemble the software.
• Remove or alter any proprietary notices or labels.
• Use the Services to develop competing products or services.

Termination

SeroCast reserves the right to suspend or terminate your account, at our sole discretion and without prior notice, for any reason, including but not limited to:

• Breach of these Terms.
• Display of prohibited or illegal Content.
• Non-payment of subscription fees.
• Fraudulent or abusive use of the Services.
• Upon request by law enforcement or governmental authority.

Upon termination, your right to use the Services will immediately cease. Sections 4, 6, 7, 8, and 15 shall survive termination.

Content Removal

SeroCast reserves the right, but has no obligation, to remove or disable access to any Content at our sole discretion, for any reason, including Content that we believe violates these Terms or may expose SeroCast to legal liability.

Service Modifications

SeroCast reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Governing Law & Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SeroCast is registered.
• Any dispute shall first be attempted to be resolved through good-faith negotiation for thirty (30) days.
• If negotiation fails, disputes shall be resolved through binding arbitration.
• You agree that any claims shall be brought solely in your individual capacity.

Force Majeure

SeroCast shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, power outages, internet disruptions, telecommunications failures, or cyberattacks.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SeroCast regarding the use of the Services.

Changes to These Terms

SeroCast reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least thirty (30) days before they take effect. Your continued use of the Services after the effective date constitutes your acceptance of the modified Terms.
